Event Registration Terms, Conditions, and Assumption of Risk / Release of Liability Agreement

1. Parties & Applicability

This Event Registration Terms, Conditions, and Release of Liability Agreement (the “Agreement”) is entered into by and between Inspire Licensing LLC, a Florida limited liability company (the “Company”), its affiliated brand operations (including Inspire Martial Arts & Fitness), host facilities, property owners, organizers, affiliates, subsidiaries, managers, members, agents, independent contractors, instructors, senior students, and representatives (collectively referred to as the “Released Parties”), and the registering participant and/or the parent or legal guardian registering on behalf of a minor participant (referred to as “Participant,” “Purchaser,” “You,” or “Your”).

This Agreement applies to all events, including but not limited to the Inspire Summit Series (Be Better Summit, Breakthrough Summit, Leadership Summit), weekend intensives, martial arts clinics, testing events, and related activities conducted in person or digitally.

2. Voluntary Assumption of Physical Injury Risks

Participant understands that participation in martial arts, self-defense demonstrations, dynamic movement, kicking/punching drills, pad work, board breaking, physical conditioning, and related activities involves inherent, non-eliminable risks of physical movement and personal contact.

Risks include, but are not limited to:

• Muscle strains, sprains, bone fractures, contusions, lacerations, joint dislocations, and concussions.
• Contact with equipment, targets, boards, flooring, mats, or other participants and instructors.
• Cardiovascular exertion, sudden fatigue, respiratory distress, and dehydration.
• Permanent physical disability or, in rare instances, catastrophic injury or death.

Participant acknowledges that they (or their minor child) are in sound physical health and physical condition to engage in martial arts activities and that participation is entirely voluntary. Participant freely, voluntarily, and knowingly chooses to assume all inherent risks associated with attending the event.

3. Comprehensive Waiver and Release of Liability

To the fullest extent permitted by law, Participant, on behalf of themselves, their spouse, heirs, executors, administrators, legal representatives, and assigns, FOREVER RELEASES, WAIVES, DISCHARGES, AND COVENANTS NOT TO SUE Inspire Licensing LLC, Inspire Martial Arts & Fitness, their managing members, officers, employees, instructors, guest speakers, volunteers, and facility owners/lessors from any and all liability, claims, demands, losses, or damages arising out of injury, harm, property damage, or loss incurred during, before, or after any event.

This release explicitly encompasses claims caused or alleged to be caused, in whole or in part, by the ordinary negligence of the Released Parties, but excludes damages arising directly from gross negligence, willful misconduct, or intentional harm as established by applicable law.

4. Medical Emergency Authorization & Expenses

In the event of an illness, injury, or emergency during the event:

1. Participant authorizes the Released Parties to obtain or administer emergency first aid, CPR, or transport to a licensed medical facility if deemed necessary by on-site staff.
2. Participant agrees that they are exclusively responsible for all costs, bills, and medical expenses incurred as a result of any medical treatment or transport provided.
3. Participant agrees to indemnify and hold harmless the Released Parties from any claims or financial obligations arising from emergency medical care.

5. Ticketing, Admissions, and Refund Policy

1. Capacity & Seat Allocation: All Summit and event registrations are subject to strict facility capacity limits. A registration is only confirmed once payment is successfully processed.
2. Refund Policy: Due to limited roster spots, specialized venue logistics, custom merchandise production, and catered meal reservations:
   • Strict No-Refund Policy: All registrations, tickets, and VIP bundles are non-refundable.
   • Transfer & Credit Window: If a Participant provides written notification via email at least fourteen (14) days prior to the start of the scheduled event, the registration fee may, at the sole discretion of Inspire Licensing LLC, be applied as a one-time credit toward a future Summit or event within twelve (12) calendar months, or transferred to another eligible individual.
   • No-Shows: Failure to attend without written notice results in automatic forfeiture of the registration fee and all associated event deliverables.
3. Event Rescheduling or Relocation: The Company reserves the right to adjust event schedules, trainers, locations within the same metropolitan area, or event formats (including virtual transitions) in cases of unforeseen circumstances, natural disasters, or facility emergencies.

6. Photo, Audio, and Video Media Release

Participant understands and consents that video recordings, still photographs, audio clips, and digital captures will occur throughout the event.

Participant irrevocably grants Inspire Licensing LLC and its licensees the unrestricted right and permission to record, reproduce, edit, publish, broadcast, and distribute their likeness, voice, name, and performance in all forms of media (print, digital, social media, promotional assets, educational curriculum, and websites) without geographical limitation, expiration, or monetary compensation.

If a Participant wishes to decline the media release for a minor child, written notice must be submitted to our team at registration check-in prior to the start of the event.

7. Code of Conduct & Right of Removal

Participant agrees to abide by all facility rules, safety protocols, and instructions given by Grandmaster Keith Winkle, Master instructors, and studio staff.

Inspire Licensing LLC maintains an uncompromising standard of respect, personal discipline, and safety. The Company reserves the unconditional right to expel any attendee from the event premises without refund if their behavior is deemed aggressive, reckless, disruptive, harassing, insubordinate, or hazardous to other attendees or staff.

8. Intellectual Property Notice

All training systems, character curriculums (including KJ's Life Skills Adventures and The Black Belt Parent frameworks), Il Il Shin doctrines, manuals, workbooks, visual designs, and Summit instructional methodologies are the proprietary intellectual property of Inspire Licensing LLC.

Participant is strictly prohibited from recording audio/video for commercial redistribution, teaching or duplicating proprietary materials for financial gain, or publishing event coursework without express prior written consent from the Company.

9. Governing Law and Dispute Resolution

• Jurisdiction & Venue: This Agreement shall be construed, interpreted, and governed under the laws of the State of Florida, without regard to conflict of law principles. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the courts of appropriate jurisdiction located in Seminole County, Florida.
• Severability: If any provision or sentence of this Agreement is held invalid, illegal, or unenforceable by an arbitrator or court of competent jurisdiction, the remaining terms shall remain in full force and effect.

10. Parent or Legal Guardian Consent (for Minors Under 18)

If the Participant is under the age of 18, the parent or legal guardian submitting the registration certifies:

1. They are the legal parent or legal guardian with authority to execute this agreement on behalf of the minor.
2. They have reviewed this Agreement, understand its contents, and give full permission for the minor to participate.
3. They agree to indemnify and hold harmless the Released Parties from any claims brought by or on behalf of the minor arising from event attendance.
